Registration Requirements

To use Outrank, you must create an account by providing accurate and complete information. You must be at least 18 years old and have the legal capacity to enter into binding contracts.

Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains accurate and up-to-date

Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms, fraudulent activity, or any other reason at our sole discretion.

Pricing

Analysis runs are priced at $199 per run, with automatic bulk discounts applied:

• 5-9 runs: 10% discount
• 10-19 runs: 15% discount
• 20+ runs: 20% discount

Payment Processing

All payments are processed securely through Stripe. We accept major credit cards, debit cards, and PayPal. We do not store your credit card information.

Analysis Runs

Purchased analysis runs are added to your account immediately and never expire. You can use them at any time. Runs are non-transferable and cannot be exchanged for cash.

Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect analysis runs already purchased.

Our Content

The Outrank platform, including all software, designs, text, graphics, logos, and trademarks, is owned by Downwind Creative LLC and protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain all rights to the client data, website URLs, and other information you submit to our service. By using our service, you grant us a limited license to use your data solely to provide the analysis services.

Generated Content

Content briefs, analysis results, and other outputs generated by our service are licensed to you for your use. You may use these results for your own business purposes, but you may not resell or redistribute the raw analysis data or content briefs as a standalone product.

Restrictions

You may not copy, modify, distribute, sell, or lease any part of our service or software without our explicit written permission.

Service "As Is"

Our service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guarantee of Results

While we strive for accuracy, we do not guarantee that:

• Our analysis will lead to improved search rankings
• Content briefs will result in successful content
• Third-party data (search volume, difficulty scores) is completely accurate
• The service will be uninterrupted, error-free, or secure
• Defects will be corrected immediately

Third-Party Services

Our service relies on third-party APIs (DataForSEO, Anthropic). We are not responsible for the accuracy, reliability, or availability of these services.

Professional Advice

Outrank provides informational analysis and suggestions. It is not a substitute for professional SEO consultation. You are solely responsible for your content strategy and SEO decisions.

Termination by You

You may terminate your account at any time by contacting us at river@downwindcreative.com. Upon termination, you will retain access to unused analysis runs for 30 days, after which they will be forfeited without refund.

Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms of Service
• Fraudulent or illegal activity
• Abuse of our refund policy
• Chargebacks or payment disputes
• Prolonged inactivity

Effect of Termination

Upon termination, your right to use the service will immediately cease. We may delete your account data after 30 days. Provisions regarding intellectual property, disclaimers, limitation of liability, and dispute resolution shall survive termination.

Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at river@downwindcreative.com. We will attempt to resolve the dispute within 30 days.

Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or your use of the service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. The arbitration will be conducted in the United States, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver

You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Downwind Creative LLC regarding your use of the service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account to any third party without our prior written consent. We may assign these Terms at any time without notice.

Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, or network infrastructure failures.
